Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between your educational institution ("Institution," "you," or "your") and ConexED, Inc. ("ConexED," "we," "us," or "our") governing access to and use of the ConexED platform and related services. By executing a service agreement or accessing the ConexED platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.
These Terms apply to all users authorized by the Institution to access ConexED, including administrators, advisors, faculty, staff, and students. The Institution is responsible for ensuring that all authorized users comply with these Terms. Individual users may also be required to accept these Terms upon first login.
If you do not agree to these Terms, you may not access or use the ConexED platform. We reserve the right to update these Terms from time to time. Material changes will be communicated to institutional administrators at least 30 days before taking effect.
Service Description
ConexED is a student success platform that provides educational institutions with tools for appointment scheduling, academic advising, early alert management, multi-channel communications, and analytics. The platform is delivered as a cloud-based software-as-a-service (SaaS) solution hosted on secure infrastructure within the United States.
The specific features and capabilities available to your Institution depend on the service tier and modules specified in your service agreement. ConexED continuously improves the platform, and new features may be added during your subscription period at no additional cost unless otherwise specified. We will provide advance notice of any changes that materially affect existing functionality.
ConexED targets 99.9% uptime for the platform, excluding scheduled maintenance windows. Scheduled maintenance is performed during low-usage hours, and we provide at least 48 hours of advance notice for planned downtime. In the event of unplanned outages, our engineering team follows established incident response procedures to restore service as quickly as possible.
User Accounts
The Institution is responsible for managing user accounts within ConexED, including provisioning, role assignment, and deactivation. Institutional administrators control which users have access to the platform and what permissions each user holds. We recommend integrating ConexED with your existing identity provider (SSO) to streamline account management and strengthen security.
Each user account must be associated with a single individual and may not be shared among multiple people. Users are responsible for maintaining the confidentiality of their login credentials and for all activity that occurs under their account. If a user suspects unauthorized access to their account, they should notify their institutional administrator and our support team immediately.
When a user leaves the institution or no longer requires access, the Institution should promptly deactivate their account. ConexED provides administrative tools and integration capabilities to automate this process through your identity provider. Deactivated accounts retain their historical data for institutional reporting purposes but can no longer be used to log in or access the platform.
Acceptable Use
You agree to use ConexED only for its intended purpose: supporting student success through scheduling, advising, early alerts, communications, and analytics at your educational institution. You may not use the platform for any unlawful purpose, to transmit malicious code, to attempt to gain unauthorized access to other accounts or systems, or to interfere with the platform's operation.
You agree not to reverse-engineer, decompile, disassemble, or attempt to derive the source code of the ConexED platform. You may not sublicense, resell, or transfer your access to ConexED to any third party without our prior written consent. You may not use automated tools to scrape, crawl, or extract data from the platform beyond what is available through our documented APIs.
ConexED reserves the right to suspend access for any user or Institution that violates these acceptable use provisions. We will provide notice before suspension except in cases where immediate action is necessary to protect the security or integrity of the platform or other users' data.
Data Ownership
Your data belongs to you. The Institution retains full ownership of all data entered into or processed through the ConexED platform, including student records, advising notes, appointment data, communication logs, and configuration settings. ConexED does not claim any ownership interest in your data.
We process your data solely to provide the services described in your service agreement and these Terms. We do not use your data for advertising, profiling, or any purpose unrelated to delivering and improving the ConexED platform. We do not sell your data to third parties under any circumstances.
You may export your data at any time using the export tools built into the ConexED platform or by requesting a full data export from our support team. Upon termination of your service agreement, we will provide your data in a standard, machine-readable format and delete it from our systems within 90 days unless otherwise agreed in writing.
Intellectual Property
The ConexED platform, including its software, user interface, documentation, APIs, and all related intellectual property, is owned by ConexED, Inc. and protected by copyright, trademark, and other intellectual property laws. Your service agreement grants you a non-exclusive, non-transferable license to use the platform for the duration of your subscription.
ConexED, the ConexED logo, and related marks are trademarks of ConexED, Inc. You may not use our trademarks without prior written permission, except as necessary to identify ConexED as a vendor in your institutional communications. We may use your institution's name and logo in our customer lists and marketing materials unless you notify us in writing that you prefer to opt out.
Feedback, suggestions, and feature requests that you provide to ConexED may be used by us to improve the platform without any obligation to compensate you. However, this does not grant us any rights to your confidential information or proprietary data.
Limitation of Liability
To the maximum extent permitted by applicable law, ConexED shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or related to your use of the platform, regardless of the theory of liability.
ConexED's total aggregate liability for all claims arising out of or related to these Terms or the platform shall not exceed the total fees paid by the Institution to ConexED during the twelve months preceding the event giving rise to the claim. This limitation applies regardless of whether the claim is based in contract, tort, strict liability, or any other legal theory.
These limitations do not apply to ConexED's obligations regarding data protection and confidentiality, or to liability arising from gross negligence or willful misconduct. We maintain comprehensive insurance coverage appropriate for a SaaS provider handling educational data.
Termination
Either party may terminate the service agreement according to the terms specified in your contract. Typically, service agreements are annual and may be cancelled with 60 days written notice before the end of the current term. ConexED offers a 100% money-back guarantee for the first 90 days of service. If you are not satisfied with the platform within this period, we will refund your payment in full, no questions asked.
ConexED may terminate or suspend access immediately if the Institution materially breaches these Terms and fails to cure the breach within 30 days of written notice. We may also terminate if required by law or if continuing to provide service would pose a security risk to other customers.
Upon termination, your right to access the ConexED platform ceases immediately. We will make your data available for export for 90 days following termination, after which it will be permanently deleted from our systems. Sections of these Terms that by their nature should survive termination will remain in effect, including data ownership, limitation of liability, and governing law.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any dispute arising out of or related to these Terms shall be resolved through binding arbitration administered by JAMS in San Francisco, California, unless the parties mutually agree to an alternative dispute resolution process.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights or the unauthorized disclosure of confidential information. For public institutions that cannot agree to binding arbitration, disputes shall be resolved in the state or federal courts located in Alameda County, California.
